Terms of Service

1. Agreement to Terms

By accessing or using InfluTo ("the Platform", "Service", "we", "our"), operated by InfluTo s.r.o., you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Platform.

2. Service Description

InfluTo provides an affiliate marketing platform connecting mobile app developers with influencers and content creators.

For Developers: Create campaigns, track conversions, manage influencer partnerships, and handle commission payouts.

For Influencers: Join campaigns, earn recurring commissions on subscriptions, and receive monthly automated payouts.

3. Account Registration

• You must provide accurate and complete information during registration
• You are responsible for maintaining the security of your account credentials
• You must be at least 18 years old to use the Platform
• One person may not maintain multiple accounts
• You must notify us immediately of any unauthorized access

4. Platform Fees & Payment Terms

4.1 For Developers

• Platform Fee: 10% of the gross subscription price (default, customizable per organization)
• Commission: You set the commission rate for influencers (percentage or flat rate)
• Total Cost: Influencer commission + Platform fee
• Payment: Funds are deducted from your wallet when payouts are processed
• No Monthly Fees: You only pay when conversions happen

4.2 For Influencers

• Free to Join: No signup fees or monthly costs
• Commission: Earn the rate specified by each campaign
• Recurring: Continue earning for the lifetime of referred subscriptions
• Minimum Payout: $20 USD per payout period
• Payout Schedule: Monthly on the 1st, processed automatically
• Processing Time: 2-7 business days to reach your bank account via Stripe

5. Wallet & Payment Processing

• Developers must maintain sufficient wallet balance to cover commissions and platform fees
• Funds are reserved when conversions occur and deducted when payouts are processed
• All payments are processed through Stripe - we do not store payment card information
• Influencers must connect a Stripe Express account to receive payouts
• We are not responsible for Stripe processing delays or failures
• Refunds follow Stripe's refund policies

6. Commission Calculation & Payouts

• Commissions are calculated based on verified subscription revenue from RevenueCat
• Only production environment revenue is counted (sandbox excluded)
• Commission rates are stored at the time of purchase and not retroactively changed
• Developers changing commission rates must provide 72-hour notice (grace period)
• Failed payouts are automatically retried daily for up to 7 days
• If an influencer's payout fails repeatedly, it will be held until the issue is resolved

7. Attribution & Tracking

• Attribution is tracked via unique referral codes
• Attribution window: 72 hours from click to conversion
• Last-touch attribution model is used (last click before conversion)
• Once a user is attributed to an influencer, all future revenue from that user credits the same influencer (lifetime attribution)
• Fraudulent clicks or conversions will result in commission reversal

8. Refunds & Commission Reversals

• If a user refunds their subscription, the associated commission is reversed (clawback)
• Clawbacks are deducted from the influencer's next payout
• If an influencer has insufficient future earnings, they may be required to repay clawed-back amounts
• Developers are responsible for handling customer refunds through their payment processor

9. Account Termination

• Either party may terminate their account at any time
• We reserve the right to suspend or terminate accounts for violations of these terms
• Upon termination:
  • Developers: Existing influencer partnerships continue for 3 days (cooldown period)
  • Influencers: Existing referred subscribers continue generating commission until canceled
  • Final payouts are processed according to normal schedule

10. Prohibited Activities

You may not:

• Use the Platform for fraudulent or illegal purposes
• Generate fake clicks, conversions, or referrals
• Manipulate attribution or commission calculations
• Reverse engineer or attempt to access unauthorized parts of the Platform
• Share account credentials or API keys publicly
• Use bots or automated systems to generate referrals
• Promote illegal, harmful, or adult content

11. Intellectual Property

The Platform, including its design, code, logos, and content, is owned by InfluTo s.r.o. and protected by copyright and trademark laws. You may not copy, modify, or distribute any part of the Platform without written permission.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The Platform is provided "as is" without warranties of any kind
• We are not liable for any indirect, incidental, or consequential damages
• Our total liability is limited to the amount you paid us in the last 12 months
• We are not responsible for third-party services (Stripe, RevenueCat, etc.)
• We do not guarantee specific earnings or conversion rates

13. Modifications to Terms

We may update these terms at any time. Continued use of the Platform after changes constitutes acceptance of the new terms. Material changes will be announced via email or platform notification.

14. Governing Law

These terms are governed by the laws of the Czech Republic. Any disputes shall be resolved in the courts of Prague, Czech Republic.
